Windows will not shutdown

Hi all got a pc the will not shut down when i go to Start menu and then Shut down computer it starts to close things but then stops and it dont shut down i dont freeze and if i got back to start and shut down again it will sumtimes shut down sumtimes i have to do it 3 times to get it to shut down.

I have googled it and tryed a couple things and had no luck. Running Windows XP pro SP3.

Could be a program thats running (before you shutdown), that wont quit / or its not responding.

WHAT programs are running on startup / on shutdown?
